INVENTIF - Software license agreement

This license agreement is concluded between IODE informatique (the editor and the provider of the INVENTIF software), subsequently called IODE, and the CUSTOMER. By using the INVENTIF software, the CUSTOMER accepts the terms of this contract. If the CUSTOMER does not accept them, he/she does not use the INVENTIF software.

IODE grants the CUSTOMER the right to use one copy of the INVENTIF software for a number of inventoried assets no greater than the number of acquired rights.
The INVENTIF software is licensed to one single inventory team (inventory team means a group of individuals hierarchically organized whose task is the completion of the inventory).
Excluded from this license, is the use of the INVENTIF software for the overall inventory of decentralized organizations or sub-organizations. Such a decentralized use of the INVENTIF software must be the subject of a negotiation and specific contract.

The number of assets that can be inventoried is not limited in this license.

a) The INVENTIF software version 4 and subsequent make it possible to read and write in a MySQL database. However, IODE does not resell the MySQL license. So, if the CUSTOMER wants to use the MySQL relational database management system, he/she must acquire the rights relating to this license. b) Installation and administration of the MySQL database management system is the CUSTOMER's responsibility.

a) The INVENTIF software version 8 and subsequent make it possible to read and write in a SQL Server database. However, IODE does not resell the SQL Server license. So, if the CUSTOMER wants to use the SQL Server relational database management system, he/she must acquire the rights relating to this license from Microsoft.
b) Installation and administration of the SQL Server database management system is the CUSTOMER's responsibility.

The INVENTIF software belongs to IODE and is protected by copyright regulations applicable in France and in the country of the CUSTOMER, by international treaties provisions and by all other applicable national legislation. Therefore, the CUSTOMER must consider the INVENTIF software like any other product or data (such as a book or music recording) protected by copyright and all other applicable regulations.
The deletion, concealment or modification of proprietary notices contained in or distributed with the software is not permitted. The same applies to copyright notices and trademark notices.
The CUSTOMER may:
- make one copy of the INVENTIF software for backup or archiving purposes;
- install the INVENTIF software on as many hard drives as this license permits.
The CUSTOMER is not authorized to copy the INVENTIF software and any related manuals or documentations for use outside his/her organization.
The CUSTOMER is not authorized to reconstruct the program logic, decompile, disassemble completely or partially or modify the INVENTIF software nor any manuals or documentations accompanying this software.

The CUSTOMER can transfer his/her INVENTIF software license agreement rights only if that transfer is final, concerns all the rights acquired, if all the copies of the INVENTIF software and all the related documentation are transferred and if the transfer recipient expressly complies with the terms and conditions of the transferred INVENTIF software license agreement. Any transfer must relate to the current version and to all previous versions.

Subject to operating the INVENTIF software under normal conditions of use, IODE guarantees that the INVENTIF software can be used, for the most part, as described in its accompanying manuals and with the announced performance for a period of 90 days following the date of its acquisition.
IODE assumes no other warranty.

The license based on this agreement begins when the INVENTIF software is made available to the CUSTOMER by IODE and the CUSTOMER has accepted the terms of this agreement.
The INVENTIF license granted to the CUSTOMER automatically expires if the CUSTOMER violates the terms of this agreement.

In the event of an INVENTIF software defect, the obligations of IODE and the rights of the CUSTOMER will be limited to the choice of IODE, namely:
a) refund of the price paid;
b) repair or replacement of the items that do not comply with IODE's warranty; these items will be sent to IODE accompanied by a copy of INVENTIF software proof of purchase.
However, the warranty of IODE will not be applicable in the event that the defect results from an accident, abuse or misuse.

Under no circumstances can IODE or its suppliers be held liable for any damage of any nature whatsoever, in particular operating loss, data loss or any other financial loss resulting from the use or the impossibility to use the INVENTIF software, even if IODE has been warned of the possibility of such damage. In any event, the liability of IODE may under no circumstances exceed the amount actually paid for the acquisition of the INVENTIF software. In order to determine whether the limit of liability of IODE has been reached, account will be taken of all sums which may have been paid by IODE in this respect. IODE cannot be held liable for any accounting error even if it turns out that it results from a malfunction of the INVENTIF software, of one of its peripheral software or even from a lack of documentation, the CUSTOMER remaining in control of his/her professional practice.

This agreement is governed by French law. Any resulting dispute will fall under the exclusive jurisdiction of the Courts of the registered office of IODE.
